Background These Terms of Sale set out the terms under which Goods are sold by Us to business customers through this website,www.thumbnailtrade.com (“Our Site”). Please read these Terms of Sale carefully and ensure that you understand them before ordering any Goods from Our Site. You will be required to read and accept these Terms of Sale when ordering Goods. If you do not agree to comply with and be bound by these Terms of Sale, you will not be able to order Goods through Our Site. These Terms of Sale, as well as any and all Contracts are in the English language only. Definitions and Interpretation In these Terms of Sale, unless the context otherwise requires, the following expressions have the following meanings:

"Goods" means the goods sold by Us through Our Site; "Order" means your order for Goods; "Order Confirmation" means Our acceptance and confirmation of your Order; "Order Number" means the reference number for your Order; and "We/Us/Our" means Thumbnail Trade, whose registered trading address is 28 Blind Lane, Southwick, Trowbridge, Wiltshire, UK, BA14 9PG Access to Our Site is free of charge. It is your responsibility to make any and all arrangements necessary in order to access Our Site. Access to Our Site is provided “as is” and on an “as available” basis. We may alter, suspend or discontinue Our Site (or any part of it) at any time and without notice. We will not be liable to you in any way if Our Site (or any part of it) is unavailable at any time and for any period.

Scanning

Artwork is left in the care of Thumbnail Media at the owner's risk and Thumbnail cannot accept responsibility for loss, theft, damage. If artwork is lost or damaged while in transit, the onus will be on the courier service and the owner of the artwork to apply for and negotiate any compensation.

Colour-matching & Proofing

Where a customer has requested a scan of a piece of artwork, it is recommended that they also purchase a print proof prior to completing the print-run to ensure adequate colour-matching. Unfortunately Thumbnail cannot replace or refund any work produced from a scanned file which has not been tested first as a print proof. Where a customer submits artwork as a digital file and no hard proof has been requested, Thumbnail Media cannot accept responsibility for any complaints regarding colour imperfections. This is true of all products. Proofs are charged at the rate specified or at the rate of one unit plus postage as appropriate.

Accuracy

We take every effort to ensure that the content of this site is accurate & up to date. We reserve the right to amend any errors or omissions at our discretion & will endeavour to do so at the earliest opportunity.It should be noted that the colours & appearance of artwork or products may vary slightly from the way they appear on the screen, due to the resolution of the images used on the website.

Refunds for pre-paid goods and services

A refund will be offered to the customer if they inform us within 14 days of receiving an item, or booking the service, that they want to cancel. The customer has a further 14 days to return the item after notifying us. The customer will be refunded within 14 days of the returned goods being received by us. The customer is not required to provide a reason for the return.If work has begun on the purchased service at the Customer's request, then the refund will be pro-rata'd accordingly.

If a customer deems their goods to be unsatisfactory, they may return them as described below but any replacement goods or refunds will be made at the discretion of Thumbnail Media. Unfortunately we are not able to offer any refunds for goods and services, after the 14 day notice period, which have been prepaid in full or as a deposit. In some circumstances we can negotiate a proportionate alternative as printed goods to the value or part-value of the sum paid. Book Deposits, Websites and Membership Fees are non-refundable.

Orders

Simply browse through the our artists & add any items you wish to purchase to the cart. You will have the opportunity to check the details of your order & correct any errors before placing the order.When you place your order you are making an offer to buy. Please note we charge a start-up/design fee of £25 for Non-members

Delivery

We cannot accept any liability for any loss or damage to the products once they have been delivered unless this is caused by our negligence. We will endeavour to deliver within 14 days or sooner, but please allow up to 30 days.

Returns

The goods must be returned in their original condition & packaging (or similar packaging to ensure safe transit) within 5 days. Return postage will be at your cost, using Special Delivery or equivalent with adequate insurance cover. Customer should include a note with details of your name & address & a reason for the return.

Thumbnail Media Membership

Artists wishing to join Thumbnail Media on either of the two levels of Membership do so at their own public risk. Thumbnail Media cannot accept responsibility for any negative response, disparaging comments towards their work. When a customer submits artwork to Thumbnail Media, by doing so they are declaring it to be their own creation and not plagiarised from another person's work. Thumbnail Media cannot accept responsibility for a situation where this is not the case. If an artist is proven to be contravening any copyright laws, their membership will be terminated by Thumbnail Media.

By becoming a Member of Thumbnail Media, each Member agrees to abide by our ethos. A Member must not bring Thumbnail Media into disrepute.

A membership can be revoked at the discretion of the Thumbnail Media if it is felt the member has not upheld the quality of membership. This includes bringing Thumbnail Media down publicly i.e. by social media.

If the member has a grievance or complaint regarding membership, promotion, another member, exhibitions or anything relevant, they must contact us at once where the grievance will be investigated thoroughly. A grievance should not be aired publicly, i.e. by social media as this contravenes our rules and membership will be revoked immediately. This does not affect your statutory rights and you can seek legal advice if required. However, The Secretary should always be the first point of contact in any grievance or complaint. A customer may terminate their Membership at any point during the 12 months but Thumbnail cannot offer any refunds for the time not used by the customer. All digital scans remain the property of Thumbnail Media but the Artistic Rights to the use of the files for any purpose either repro or commercial, remains solely with the Artist. The customer may choose to purchase the high resolution scans of their work from Thumbnail Media at the expiration of their Membership and this will be at a negotiated rate which reflects the current industry value at the time. If membership is not renewed and a pre-paid stock tally exists, Thumbnail will honour this using stock held by Thumbnail. If the tally exceeds the stock held, the customer will have the option to place an order to fulfil the remaining items - valid for 14 days from the membership expiry date

Copyright rests with the artist unless specifically transferred (assigned) which has to be in writing. Only the copyright holder has the right to reproduce the image, or license another to reproduce it. Any scans or digital copies of artwork however, remain the property of Thumbnail Media (unless otherwise agreed). These will be destroyed once membership has ended (by either parties).

Business Customers and Consumers These Terms of Sale apply to business customers only. These Terms of Sale do not apply to individual consumers purchasing Goods for personal use (that is, not in connection with, or for use in, their trade, business, craft, or profession). We are a business to business supplier. These Terms of Sale constitute the entire agreement between Us and you with respect to your purchase of Goods from Us. You acknowledge that you have not relied upon any statement, representation, warranty, assurance, or promise made by or on behalf of Us that is not set out in these Terms of Sale and that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based upon any statement herein.

International Customers We are able to supply customers in the UK, Europe and wider territories subject to our discretion, feasibility and corresponding UK / European regulations.
Goods, Pricing and Availability We make all reasonable efforts to ensure that all descriptions and graphical representations of Goods available from Us correspond to the actual Goods. Please note, however, the following: Images of Goods are for illustrative purposes only. There may be slight variations in colour between the image of a product and the actual product sold due to differences in device displays and lighting conditions; Images and/or descriptions of packaging are for illustrative purposes only, the actual packaging of Goods may vary; and Due to the nature of the Goods sold through Our Site, there may be up to a 10% variance in the size, dimensions, measurements, weight, of those Goods between the actual Goods and the description. Prices are as per the total shown per item. Thumbnail Trade is not VAT Registered. Delivery Charges are Free at this website except for Orders outside of UK Mainland.

Payment Payment for Goods and related delivery charges must always be made in advance and you will be prompted to pay during the order process. Your chosen payment method will not be charged until We are ready to dispatch your Goods. Payment must be made in full for your Order, without any set-off, counterclaim, deduction, or withholding (except where any deduction or withholding of tax is required by law). We accept the following methods of payment on Our Site: Credit and debit card; BACS / PAYPAL

Delivery, Risk and Ownership We will endeavour to delivery orders as fast as possible and in normal terms this happens within 10 working days. All Goods purchased through Our Site will normally be delivered within 30 calendar days after the date of Our Order Confirmation unless otherwise agreed or specified during the Order process If We are unable to deliver the Goods in the normal timescales, the following will apply: If no one is available at your delivery address to receive the Goods and the Goods cannot be posted through your letterbox or left in a safe place nominated by you, We will leave a delivery note explaining how to rearrange delivery or where to collect the Goods; If you do not collect the Goods or rearrange delivery within 7 days or the period for the courier used, We will contact you to ask you how you wish to proceed. If We cannot contact you or arrange redelivery or collection, We will treat the Contract as cancelled and recover the Goods. We may also bill you for any reasonable additional cost that We incur in recovering the Goods.

Faulty, Damaged or Incorrect Goods We warrant that the Goods, on delivery, and for a period of 14 days thereafter (the “Warranty Period”) shall be as described; be free from material defects in design, material, and workmanship; be of satisfactory quality (as defined in the Sale of Goods Act 1979); and be fit for any purpose described by Us. If any Goods you have purchased do not comply, we shall, at Our option, repair the affected Goods, replace them, or issue you with a full refund for the price of the affected Goods. The following conditions shall apply: You must give Us written notice of the non-compliance during the Warranty Period within a reasonable time of discovering it; You must return the Goods in question to Us at Our expense You must give Us a reasonable opportunity to examine the Goods in question. We will not be liable for any non-compliance with the provisions of any Goods if any of the following apply: You have made any further use of the affected Goods after giving Us written notice of the non-compliance The non-compliance has arisen as a result of your failure to follow Our instructions on the correct usage, maintenance, installation, storage of the affected Goods or, where no instructions are provided, your failure to follow good trade practice with respect to the same; The non-compliance has arisen as a direct result of any information (incorrect or otherwise) provided by you to Us; You have made any unauthorised alterations or repairs to the affected Goods; or The non-compliance is the result of normal wear and tear, deliberate damage, negligence, or abnormal or unsuitable working conditions. Returns/Refunds To return Goods to Us for any reason, please contact Us at sales@thumbnailmedia.com to arrange for a collection and return. We will be fully responsible for the costs of returning Goods where a refund is agreed and will reimburse you where appropriate. Refunds if agreed, will be issued within 14 days of the day on which We agree that you are entitled to the refund. Any and all refunds issued will include all delivery costs paid by you when the Goods were originally purchased. Refunds will be made using the same payment method that you used when ordering the Goods.

If We change these Terms of Sale as they relate to your Order, We will give you reasonable advance notice of the changes and provide details of how to cancel if you are not happy with them. If you do opt to cancel, you must return any affected Goods you have already received and We will arrange for a full refund (including delivery charges) which will be paid within 14 days of your cancellation and will be made using the same payment method that you used when ordering the Goods.

Law and Jurisdiction These Terms of Sale, and the relationship between you and Us (whether contractual or otherwise) shall be governed by, and construed in accordance with, English law. Any disputes concerning these Terms of Sale, the relationship between you and Us, or any matters arising therefrom or associated therewith (whether contractual or otherwise) shall be subject to the exclusive jurisdiction of the courts of England and Wales.
